Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Kleum contributor platform operated by Physicore Limited ("Kleum", "we", "our"). By registering an account, accepting a contract on the platform, or otherwise accessing the platform, you agree to be bound by these Terms. If you do not agree, do not register or use the platform.
1. Eligibility
You must be at least 18 years old, have full legal capacity to enter into a binding contract under the laws of your country of residence, and not be prohibited from using the platform under applicable sanctions or export controls. You agree to provide accurate, current, and complete registration information and to keep it up to date. You may register only one account.
2. Independent contractor relationship
Contributors perform tasks as independent contractors, not as employees, workers, agents, or partners of Kleum or Physicore. Nothing in these Terms creates an employment, agency, joint-venture, or partnership relationship. You are solely responsible for: (a) determining the manner and means of performing each task within the brief provided; (b) all taxes, social contributions, and statutory deductions applicable in your jurisdiction; (c) any insurance you elect to carry; and (d) compliance with all laws applicable to your activities, including data protection, health and safety, and professional regulation where relevant.
3. The platform and contracts
Each task or project is offered on the platform with a written brief, the applicable rate, acceptance criteria, and any additional terms. By accepting a task you enter into a separate task-level contract with the entity identified in the brief, on the terms then displayed. Kleum may at any time modify, suspend, or withdraw any feature of the platform, and may decline to offer any individual task to any contributor.
4. Equipment
Where capture or teleoperation kit is loaned to you, the kit remains the property of Kleum or its designated supplier. You must use the kit only for the purposes contemplated in the relevant brief, take reasonable care of it, and return it on request in working condition (fair wear and tear excepted). Loss or damage caused by your negligence may result in cost recovery.
5. Quality, conduct, and integrity
- You must perform every task in good faith and follow each brief precisely.
- You must not submit fraudulent, fabricated, AI-generated (where prohibited), or otherwise non-compliant work, and must not collude with other contributors to manipulate quality, pay, or matching.
- You must not share, sell, or transfer your account, run multiple accounts, or impersonate any person.
- You must treat staff, other contributors, and any third parties you encounter in the course of capture work with respect, and comply with the Community Guidelines.
6. Intellectual property and licence
All capture, teleoperation logs, annotations, sensor data, and other outputs produced by you in the course of accepting a task ("Deliverables") are, on submission and payment, assigned to Kleum (or the customer identified in the brief) on a worldwide, perpetual, irrevocable, royalty-free basis, including the right to sub-licence, modify, combine with other data, and use to train, evaluate, and deploy AI systems. To the extent assignment is not effective, you grant Kleum an equivalent exclusive licence. You waive moral rights in the Deliverables to the maximum extent permitted by law.
7. Confidentiality and data handling
Briefs, customer names, raw capture, and any pre-release content are confidential. You must not disclose, publish, screenshot, or repurpose any of it. You must not capture identifiable third parties without lawful basis and consent where required, and must remove inadvertent captures of bystanders or sensitive content before submission. Personal data is processed in accordance with the Privacy Policy.
8. Specialist tier
If you apply to the specialist register (clinical, legal, scientific, engineering, or other regulated domains), you warrant that your credential is current, in good standing, and that your participation in any specialist contract does not breach your professional or regulatory obligations. You are solely responsible for compliance with your regulator.
9. Payment and chargebacks
Approved task earnings are paid weekly to the payout method you select. Kleum may withhold or reverse payment for Deliverables that fail acceptance criteria, are found to be fraudulent, breach these Terms, or are flagged for investigation, and may set off such amounts against future earnings.
10. Suspension and termination
Kleum may suspend or terminate your account, with or without notice, for breach of these Terms, the Community Guidelines, or any task-level contract; for suspected fraud or quality issues under investigation; or where required by law. On termination, sections that by their nature should survive (including 6, 7, 11, 12, 13) survive.
11. Warranties and disclaimers
You warrant that you have the right to perform each accepted task, that Deliverables are your original work, do not infringe any third-party rights, and comply with the brief. Except as expressly set out in these Terms and to the maximum extent permitted by law, the platform is provided "as is" and Kleum disclaims all implied warranties, including merchantability and fitness for a particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, Kleum's aggregate liability arising out of or in connection with these Terms, the platform, or any task is limited to the amount paid to you by Kleum in the twelve (12) months preceding the event giving rise to the claim. Kleum is not liable for indirect, consequential, special, or punitive losses, including loss of profit, revenue, opportunity, or data. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You will indemnify Kleum, Physicore, and their customers against any claims, losses, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your gross negligence or wilful misconduct, or any Deliverable that infringes third-party rights.
14. Changes
We may update these Terms from time to time. Material changes will be notified through the platform or by email. Continued use of the platform after the effective date of any change constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except where mandatory local law in your country of residence applies.
